For a Hong Kong private company, the annual return is generally delivered within 42 days after the incorporation anniversary. The anniversary and delivery deadline are different dates, and both should appear in the compliance calendar.
Calculate using the official guidance Confirm the company type, anniversary and any relevant exception. Use the Companies Registry's guidance and fee calculator for the actual dates. Dormancy can affect obligations but should not be assumed from a lack of trading alone.
Understand late filing consequences Registration fees rise according to the length of delay. Paying a higher fee does not make late filing a planned extension or remove every possible consequence of noncompliance.
Do not leave preparation until the deadline because ownership or officer information may need clarification. Set an internal completion date that allows time for review and correction.
If the deadline has passed Establish whether the return was actually filed and whether any submission was rejected or incomplete. Obtain current instructions and arrange the outstanding filing promptly. Keep notices and discuss any enforcement correspondence with an appropriate adviser.
For a company changing secretaries close to its anniversary, explicitly assign the return to one provider and obtain the receipt. Assuming the outgoing secretary has done it is not a reliable control.
After resolving the immediate issue, record the cause and improve the reminder process. A calendar that tracks filing evidence, not just preparation, helps prevent the same problem the following year.
