Hong Kong annual general meeting requirements depend on the company and the applicable statutory exceptions. A private company should not assume that no meeting is needed simply because it has one active founder or no profit.
Review the legal route The Companies Registry explains timing and circumstances in which an AGM is not required or may be dispensed with. Those provisions have conditions. Confirm which route applies and what records or resolutions are needed.
Where an AGM is required, plan it alongside the financial statements and other annual business. The meeting timetable should reflect the company's accounting reference period and applicable rules, not a generic date copied from another company.
Keep decisions properly recorded Prepare the required notice, papers and minutes or written resolutions as appropriate. Record approvals accurately and preserve the final documents. A conversation between founders or an unsigned draft is not automatically sufficient evidence of the required corporate decision.
Coordinate with the accountant and secretary Ask when accounts will be available and which approvals depend on them. Identify who will arrange the meeting or alternative permitted procedure. If shareholders are overseas, discuss the practical participation and signing arrangements in advance.
For a company using an exemption, retain the reasoning and supporting documents rather than leaving the annual file empty. The useful objective is a valid, documented decision process that fits the company, not holding an unnecessary ceremony or casually ignoring the rules.
