Hong Kong Company Compliance Guide 2026

Hong Kong company compliance is a collection of continuing responsibilities. The Companies Registry, Inland Revenue Department and financial providers ask different questions, so one annual payment or filing does not complete everything.

Maintain the corporate record Keep the company's officer, member and control information current. Record decisions and notify relevant changes through the required process. A change of address, director or ownership should trigger a review when it happens, not only at the next annual return.

Assign someone to monitor official mail and portal messages. The registered office and secretary should have current contact details and a clear escalation process for deadlines.

Organise the annual return For a private company, the Companies Registry annual return generally follows the incorporation anniversary and is delivered within the applicable 42 day period. It reports company particulars and is different from financial statements or a profits tax return. Dormancy and other special circumstances require separate consideration.

Keep accounting and tax work moving Record transactions throughout the year, reconcile accounts and retain supporting documents. Review financial statement and audit requirements with the accountant. Eligibility for simplified reporting does not automatically remove an audit requirement.

Track profits tax correspondence separately. The company's accounting period, issue of a return and any valid extension affect the work plan. Do not wait for a tax letter before collecting the year's records.

Review ownership and meetings Maintain the significant controllers process where applicable. Check meeting and resolution requirements for the company, including any valid exemption or written resolution route. Informal founder conversations are not a substitute for required records.

Create a practical calendar Use a calendar with the obligation, trigger date, responsible person, preparer, approver and filing evidence. Include registered office and secretary renewals, business registration, corporate filings, accounting, tax and provider updates.

At each quarter end, ask what changed: new owners, markets, directors, employees or products. Then identify the records and notifications affected. This keeps compliance connected with operations rather than a last minute scramble to recreate decisions and transactions.
