Hong Kong is often described as having no dividend tax or capital gains tax. Those headlines need context: the nature of a receipt, specific regimes and the shareholder's country can change the overall result.
Capital versus trading income Calling a profit a capital gain does not determine its treatment. Facts and relevant rules decide whether a disposal is capital or part of a taxable business activity. Keep evidence of acquisition purpose, use and circumstances of sale.
Foreign receipts The FSIE regime can affect specified foreign dividends and disposal gains for relevant multinational enterprise entities. Check scope and conditions rather than assuming every foreign receipt is exempt because Hong Kong lacks a general capital gains tax.
The shareholder's position A distribution can create tax or reporting obligations in the recipient's country. The company's treatment and the individual's treatment are different analyses.
Document distributions Before paying owners, confirm the legal basis, available profits where relevant and required approvals. Align company records and accounting entries. Do not label an unexplained withdrawal a dividend only after a bank asks about it.
For a founder abroad, discuss proposed salary, dividends or other payments with advisers who understand both jurisdictions. A sensible plan explains the purpose and treatment of each payment rather than treating every transfer from the company as automatically tax free.
