A Significant Controllers Register checklist should cover identification, required particulars, access and updates. A completed ownership chart alone does not demonstrate that the company has followed every SCR requirement.
Identify control properly Review shareholding, voting rights, board appointment rights and other relevant influence or control. Trace indirect interests where required. Keep the information and reasoning used to determine who qualifies.
Obtain and record the particulars Follow the Registry's guidance on notices, confirmation and required entries. Record the position appropriately if information is being sought. Do not mark the register empty without making the required inquiries.
Check administration Confirm where the register is kept and that the required designated representative arrangement is valid. Make sure the company can comply with legitimate access requirements. Keep contact details current.
Review event triggers * Share transfers and new issues. * Changes in the ownership of a corporate shareholder. * New voting or control agreements. * Changes affecting relevant personal particulars. * Replacement of the designated representative.
For a group structure, a change above the Hong Kong company can matter even when its direct shareholder stays the same. Add an information obligation to the group's internal process so local administrators hear about it.
Keep the review dated and supported by evidence. Financial providers may ask separate beneficial ownership questions, so the SCR should be maintained as a statutory record rather than treated as the only ownership information the business will ever need.
