How to Reactivate a Dormant Hong Kong Company

A dormant company should plan its return to activity before taking new orders or moving funds. An accounting transaction can affect dormant status, so reactivation is more than changing the description on a website.

Establish the trigger and date The Registry explains the special resolution route for a company intending to enter an accounting transaction and the consequences of actually entering one. Confirm the appropriate procedure and effective date with the secretary.

Rebuild the compliance calendar Review annual return obligations for the year, accounting records, financial statements and audit requirements. Notify the accountant and consider tax correspondence. Do not assume the old calendar resumes unchanged without checking the dates.

Review providers and contracts An old account or processor may require updated verification before renewed use. Confirm access, product eligibility and current terms. Update the website and customer policies to match the revived activity.

Prepare opening records Identify assets, liabilities, ownership and any funds introduced for the relaunch. Keep the evidence connecting the dormant period with the new activity.

For example, a company restarting with a different business model may need a fresh provider review even though the legal entity is unchanged. Tell providers about the real change rather than using the old approval as assumed permission.

Complete the administrative and operational checks before announcing a launch date. A properly documented restart makes later annual reporting and account reviews much easier to explain.
