Documents Required to Register a Hong Kong Company

The documents used to register a Hong Kong company are different from the commercial documents a bank may ask for later. Keeping those two files separate makes the incorporation process easier to manage.

The incorporation submission For a company limited by shares, the standard submission includes form NNC1, the articles of association and notice IRBR1. The completed forms identify the company and the relevant people and record the proposed share structure. Check the current forms and filing instructions rather than reusing an old downloaded template.

The supporting identity file Your formation provider may ask for identity and residential address evidence, director and shareholder details, signatures and an ownership chart. If a shareholder is itself a company, expect requests for its registration records and information connecting it to the individuals who ultimately control it.

Certification and translation requirements depend on the recipient and the document. Ask for exact instructions before paying a notary or translating an entire corporate file. A certified document that omits a required page can still be unusable.

A practical document check * Match names and document numbers across the application and identity records. * Confirm that every identity document is valid and legible. * Keep the complete document, including relevant reverse sides and continuation pages. * Explain address differences instead of silently choosing whichever looks convenient. * Record who approved the share allocation and who signs each form.

Prepare for the next stage without inventing evidence A bank may later need customer contracts, supplier records, a website and a business forecast. A new company may not have historical transactions. Explain its launch stage and provide genuine available evidence instead of creating fictional invoices.

Store the signed application and final certificates separately from working drafts. When an account provider requests corporate records, send the current issued version rather than the unsigned incorporation draft. That simple version check prevents many avoidable questions.
