Can a Foreigner Own 100% of a Hong Kong Company?

Foreign ownership of all the shares is generally possible in a Hong Kong private company. A local shareholder is not automatically required simply because the founder lives abroad. Ownership, local administration and access to financial services are separate questions.

What full ownership means A founder can hold all issued shares while appointing the directors and arranging the required company secretary and registered office. Shareholding determines economic and voting rights according to the company's constitution and share terms. It does not mean the founder can ignore the company's separate records or use its account as a personal wallet.

If two founders want different voting or profit rights, define those arrangements before allocating shares. An informal promise in a chat does not provide the same clarity as properly documented corporate arrangements.

What still has to be local The company needs a Hong Kong registered office and a qualifying company secretary. At least one director must be a natural person, but foreign ownership does not in itself create a requirement for a nominee shareholder. Ask what problem a proposed nominee arrangement is intended to solve before accepting it.

Ownership must remain transparent Banks and payment providers may need to identify the ultimate beneficial owners, even if an intermediary holds shares. Applicable significant controller obligations also need attention. A nominee does not make the underlying owner disappear from legitimate disclosure requirements.

Check the founder's own country The founder's residence may affect overseas investment permissions, reporting and taxation. Full ownership in Hong Kong does not override those rules. A founder should explain where management decisions, sales work and staff are located when obtaining tax advice.

Before incorporation, confirm both the desired ownership structure and its practical consequences. The useful question is not only whether you can own the company, but whether the arrangement fits your operations, reporting responsibilities and provider eligibility.
