Hong Kong Offshore Income: What Founders Should Understand

Offshore income is often described too loosely in company formation marketing. A defensible tax position requires analysis of the income, operations and applicable rules, not merely an offshore description on an application.

Define the income first Separate trading profits, service income, interest, dividends, intellectual property income and disposal gains. Different categories can raise different source or exemption questions. Do not place every foreign receipt into one undifferentiated bucket.

Build evidence for the position Explain who performed the income producing activities, where and under which contracts. Keep records from the relevant period. A later statement prepared solely for a tax inquiry may be less useful than contemporaneous operational evidence.

Review additional rules Relevant entities may need to consider the foreign sourced income exemption regime. The founder's residence and where the company is managed can also produce foreign obligations. A Hong Kong tax conclusion does not settle those separate issues.

Keep filing responsibilities separate An intended exemption claim does not mean an issued return can be ignored. Have the accountant determine the correct disclosure, supporting computation and response to any IRD questions.

For a business with customers abroad and work performed in several countries, the invoice address cannot answer the tax question alone. Ask advisers to state their assumptions and required evidence, then revisit the conclusion when operations change. Avoid purchasing a company on the basis of a blanket tax promise that has not considered the actual business.
