Hong Kong corporate tax should be assessed from the company's actual activities and income, not from the location printed on its incorporation certificate. A foreign owner, overseas customer or foreign currency account does not automatically make every profit exempt.
Begin with profits and source Profits tax applies under the relevant statutory rules to business profits arising in or derived from Hong Kong. Source analysis examines the operations producing the profit. Different income types can require different analysis, so avoid applying one slogan to trading, services, interest and disposal gains alike.
Keep contracts, work records and evidence showing who performed important activities and where. A bank statement proves receipt, but generally does not explain the whole profit producing process.
Understand the corporate rates Under the two tier regime, eligible corporations can apply 8.25 percent to the first HK$2 million of assessable profits and 16.5 percent to the remainder. Connected entity rules limit use of the lower tier within a connected group. These rates apply to assessable profits, not automatically to revenue or the balance in a bank account.
Calculate the tax position from the accounts with the appropriate adjustments. An accounting expense is not necessarily deductible, and a tax loss may differ from the loss shown in management accounts.
Review foreign income separately The foreign sourced income exemption regime can bring specified foreign income received in Hong Kong by relevant multinational enterprise entities into scope unless conditions are met. It is not a universal rule that all offshore income is taxed, nor a promise that all foreign income remains exempt.
Identify the income category, group position, receipt and applicable exceptions before reaching a conclusion. Investment structures can require a different review from a small operating service company.
Plan reporting and cash Keep records from the start, organise accounts and audit where required, and respond to issued profits tax returns. Filing and payment dates are separate. Provisional profits tax can affect the amount payable and should be included in the cash forecast.
Include the founder's countries Management abroad, local work, employees and ownership can create foreign tax or reporting questions. A Hong Kong resident status certificate does not itself guarantee treaty relief or remove another country's rules.
Before choosing a structure, give advisers a map of the owners, decision makers, staff, customers and income types. That factual map produces a more useful answer than asking whether a Hong Kong company pays zero tax. Review the position when the business changes rather than relying indefinitely on advice for its original model.
