A Hong Kong private company needs at least one director who is a natural person. Directors make and oversee company decisions; the role should not be treated as a decorative name needed only to complete registration.
Understand who can act Nonresidence does not by itself prevent appointment as a director. The individual must meet the applicable eligibility requirements, including restrictions that can arise from disqualification or other legal circumstances. Obtain specific advice if there is any doubt about a proposed person's eligibility.
The sole director cannot also serve as company secretary. Keep the officer structure clear when preparing the incorporation forms and when changing appointments later.
Establish authority and records Decide who can sign contracts, approve spending and access business accounts. Keep decisions and supporting information in the company's records. A founder's control over all shares does not make personal and company transactions indistinguishable.
If several directors are involved, agree a workable approval process. For example, the person dealing with suppliers might prepare an order while another approves a large payment. Record the arrangement so an absence or disagreement does not stop operations.
Keep providers informed New appointments and departures can require corporate filings and separate updates to banks or payment providers. Removing someone's title from the website does not remove their account access. Handle legal records and operational permissions together.
Before accepting an appointment, understand the business, the records available and the responsibilities attached to the role. A nominee label does not make the appointment consequence free or eliminate required disclosure of the company's actual ownership and control.
